Terms of Service

By accessing or using the LMDR platform (accessible at www.lastmiledr.app), mobile applications, APIs, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you and Last Mile Driver Recruiting LLC ("LMDR," "we," "us," or "our"), a Texas limited liability company. By creating an account or using any Platform feature, you represent that you are at least 18 years old, hold a valid commercial driver's license (if registering as a driver), and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

We may modify these Terms at any time by posting updated terms on the Platform. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

LMDR is an AI-powered technology platform that connects commercial driver's license (CDL) holders with motor carriers and freight companies seeking qualified drivers. The Platform provides:

• Intelligent matching between drivers and carriers based on location, pay, route type, equipment preferences, endorsements, safety records, and behavioral signals.
• FMCSA carrier intelligence sourced from the Federal Motor Carrier Safety Administration's publicly available SAFER database, including safety ratings, inspection history, and compliance records.
• Intent signal analysis that identifies hiring urgency and driver availability patterns to optimize match timing.
• Recruiter tools for managing driver pipelines, communications, and placement workflows on behalf of carrier clients.
• Market intelligence including regional pay benchmarks, freight market conditions, fuel pricing, and turnover analytics.

LMDR is a technology intermediary. We are not an employer, staffing agency, or transportation broker. We do not employ drivers, guarantee employment, or assume any employer-employee relationship with any user.

To access most Platform features, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration and keep your profile updated.
• Maintain the security of your account credentials and immediately notify us of any unauthorized access.
• Use only one account per individual or business entity. Creating multiple accounts to circumvent restrictions or manipulate matching results is prohibited.
• Not share your account credentials with third parties or allow others to access the Platform through your account.

You are solely responsible for all activity that occurs under your account. LMDR reserves the right to suspend or terminate accounts that contain materially inaccurate information or violate these Terms.

If you register as a driver on the Platform, you additionally agree to:

• Profile accuracy: All information in your driver profile, including CDL class, endorsements, employment history, accident history, and moving violations, must be truthful and accurate. Misrepresentation of qualifications may result in immediate account termination.
• CDL and DOT validity: You must maintain a valid, unexpired CDL and current DOT medical certification. The Platform may restrict your account if your CDL or medical card expires or is suspended.
• Matching is advisory: Carrier matches presented by the Platform are recommendations based on algorithmic analysis. A match is not an offer of employment, a guarantee of hiring, or a contractual commitment by any carrier.
• Right to accept or reject: You retain full discretion to accept, decline, or ignore any match or carrier recommendation. LMDR will never force a placement or penalize you for declining a match.
• Document submission: Documents uploaded to the Platform (CDL images, medical cards, MVR reports) are processed via OCR and stored securely. You represent that you have the right to submit all documents provided.

If you register as a carrier or represent a motor carrier on the Platform, you additionally agree to:

• FMCSA profile claim authorization: By claiming a carrier profile on the Platform, you represent that you are an authorized representative of that motor carrier and have the legal authority to manage its presence on the Platform.
• Hiring information accuracy: Pay ranges, home time policies, equipment details, route types, and other hiring information you provide must be accurate and current. Intentionally misleading job postings are prohibited.
• Subscription obligations: Carrier accounts may require a paid subscription. You agree to pay all applicable fees in accordance with Section 10 (Payment Terms). Subscription features, limits, and pricing are described on the Platform.
• Driver data usage restrictions: Driver information received through the Platform may only be used for legitimate hiring and employment purposes. You shall not sell, share, or distribute driver data to third parties, use it for marketing unrelated services, or retain it after a driver withdraws their application.

If you register as a recruiter on the Platform, you additionally agree to:

• Authorized representative requirement: You must be an authorized representative of one or more carrier clients and have written authorization to recruit drivers on their behalf. LMDR may request documentation of this authorization.
• Placement tracking: All driver placements facilitated through the Platform must be reported accurately. Failure to report placements may result in account suspension and forfeiture of platform privileges.
• Commission terms: Per-placement fees, revenue shares, or commission structures are governed by your separate recruiter agreement with LMDR. These Terms supplement but do not replace that agreement.
• Communication limits: Recruiters are limited to single-send communications (no bulk messaging). This restriction is enforced by the Platform and is non-negotiable.

The Platform displays publicly available data sourced from the Federal Motor Carrier Safety Administration (FMCSA) SAFER system, including but not limited to carrier safety ratings, inspection results, out-of-service rates, crash history, and compliance records.

LMDR does not independently verify the accuracy, completeness, or timeliness of FMCSA data. This data is provided "as is" from federal public records and is updated on a periodic basis. While we make reasonable efforts to keep data current, there may be delays between when information changes in the FMCSA database and when it is reflected on our Platform.

Carriers who believe their FMCSA-sourced information is inaccurate may submit corrections through our carrier claim process. However, LMDR cannot modify data that originates from federal records; carriers should contact the FMCSA directly to correct errors at the source.

Our agent system applies safety constraints based on FMCSA data, including excluding carriers with "Unsatisfactory" safety ratings and flagging carriers with out-of-service rates exceeding 30%. These constraints are automated safety measures and do not constitute a legal determination of carrier fitness.

The Platform uses artificial intelligence and machine learning algorithms to match drivers with carriers and generate recommendations. You acknowledge and agree that:

• Advisory, not directive: All matches, scores, and recommendations are advisory in nature. They are tools to assist your decision-making, not directives or guarantees.
• Soul constraints: Our AI operates under a set of ethical guardrails ("Soul") that include hard stops for safety (e.g., blocking carriers with unsatisfactory safety ratings, flagging extremely low pay) and soft preferences (e.g., considering driver home time stress, market pay benchmarks). These constraints prioritize driver safety and fair treatment.
• No guaranteed outcomes: LMDR does not guarantee that any match will result in employment, that any carrier will extend an offer, or that any specific compensation level will be achieved.
• Continuous improvement: Our algorithms are continuously refined using aggregate, anonymized data. Individual user data is not sold or shared for advertising purposes.

By using the Platform, you consent to receive communications from LMDR and its agents through the following channels:

• Email: Match notifications, application updates, platform announcements, and marketing communications via SendGrid.
• SMS: Time-sensitive notifications, verification codes, and alerts via Twilio. Standard messaging rates may apply.
• Voice: Automated and agent-assisted calls for driver outreach, placement coordination, and account verification.
• In-platform messaging: Threaded conversations between drivers, recruiters, and carriers within the Platform.

Opt-out rights: You may opt out of non-essential communications at any time through your profile settings or by contacting us. Essential communications (account security, legal notices, active application updates) cannot be opted out of while your account remains active.

Our AI agent system enforces frequency limits on outbound communications to prevent message fatigue. These limits are part of our Soul framework and are not configurable by individual users.

Certain Platform features require payment. The following terms apply to all paid services:

• Subscription billing: Carrier and recruiter subscriptions are billed on a recurring basis (monthly or annually) as selected at signup. Subscriptions auto-renew unless canceled before the next billing cycle.
• Per-placement fees: Carriers and recruiters may incur per-placement fees when a driver is successfully hired through the Platform. Fee amounts are specified in your subscription agreement or recruiter contract.
• Refund policy: Subscription fees are non-refundable except where required by law. Placement fees may be refunded if a driver does not start employment within 30 days of the placement date, subject to investigation.
• Payment processor: All payments are processed by Stripe, Inc. By making a payment, you also agree to Stripe's Terms of Service. LMDR does not store your full credit card information.
• Driver access is free: The Platform is free for CDL drivers. Drivers will never be charged fees for creating profiles, receiving matches, or applying to carrier positions.

Platform ownership: The Platform, including its software, algorithms, design, branding (LMDR and VelocityMatch marks), content, and documentation, is the exclusive property of Last Mile Driver Recruiting LLC and is protected by U.S. and international intellectual property laws.

User content: You retain ownership of all content you submit to the Platform (profile information, documents, messages). By submitting content, you grant LMDR a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and improving the Platform.

Feedback: Any suggestions, feature requests, or feedback you provide about the Platform may be used by LMDR without obligation or compensation to you.

Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse engineer or attempt to extract the source code of our software, unless applicable law permits such activity notwithstanding this limitation.

You agree not to engage in any of the following activities:

• False information: Submitting falsified CDL credentials, employment history, safety records, pay information, or any other material misrepresentation.
• Data scraping: Using automated tools, bots, scrapers, or crawlers to extract data from the Platform, including carrier profiles, driver information, or matching results.
• Harassment: Harassing, threatening, or intimidating other users, including unsolicited or excessive communications outside the Platform.
• Match circumvention: Deliberately bypassing the Platform to complete placements without proper tracking, or instructing drivers or carriers to communicate outside the Platform to avoid fees.
• System abuse: Attempting to interfere with, disrupt, or gain unauthorized access to Platform systems, servers, or networks.
• Discrimination: Using the Platform to discriminate against drivers or carriers on the basis of race, color, religion, sex, national origin, age, disability, or any other protected characteristic under federal or state law.

Violation of these rules may result in immediate account termination, forfeiture of fees, and referral to appropriate legal authorities.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LMDR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

You specifically acknowledge that:

• LMDR is a technology intermediary and is not a party to any employment agreement between drivers and carriers.
• LMDR does not guarantee the safety, reliability, financial stability, or legal compliance of any carrier listed on the Platform.
• LMDR does not guarantee driver qualifications, background, driving record accuracy, or fitness for employment.
• Carriers are solely responsible for conducting their own background checks, drug screenings, and pre-employment verifications as required by FMCSA regulations (49 CFR Part 391).

LMDR's total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the greater of (a) the fees you paid to LMDR in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Termination by LMDR: We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, submission of false information, non-payment of fees, extended inactivity, or conduct harmful to other users or the Platform.

Termination by you: You may delete your account at any time through your profile settings or by contacting us. Upon account deletion, we will remove your personal data in accordance with our Privacy Policy and Data Deletion Policy.

Effect of termination: Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, dispute resolution, and indemnification) will remain in effect.

Data retention: We may retain certain data after account termination as required by law, for legitimate business purposes, or to resolve disputes. See our Privacy Policy for detailed retention schedules.

Governing law: These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Informal resolution: Before initiating formal dispute proceedings, you agree to contact us at levy@lastmiledr.app and attempt to resolve the dispute informally within 30 days.

Binding arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Dallas, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions: Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims involving intellectual property rights or unauthorized access to the Platform.
